1. Service Description

AlkaGuide ("the Service", "we", "us", "our") is an educational wellness research platform designed to illustrate theoretical mineral relationships based upon published scientific literature and user-supplied information. AlkaGuide provides users with estimates of mineral depletion based on self-reported daily inputs including food consumption, medication use, alcohol intake, exercise, sleep quality, and stress levels. All calculations are performed using a proprietary algorithm that applies published biochemical data to estimate theoretical atomic-level mineral activity.

AlkaGuide is operated by AlkaGuide LLC and is accessible to registered users at alkaguide.com/members.

2. Acknowledgment of Educational Nature

By creating an account and using the Service, you expressly acknowledge and agree that:

• AlkaGuide is an educational wellness research platform and not a medical service;
• All outputs generated by the Service — including mineral estimates, food suggestions, supplement suggestions, buffering balance calculations, and all other platform outputs — are theoretical estimates intended solely for educational and informational purposes;
• These outputs do not constitute medical advice, clinical recommendations, diagnoses, or treatment plans of any kind;
• You are not relying on AlkaGuide as a substitute for professional medical, dietary, pharmacological, or health consultation.

This acknowledgment is a material condition of your right to use the Service. If you do not agree with any of the above, you must not create an account or use AlkaGuide.

3. Educational Use Only — Not Medical Advice

ALKAGUIDE IS NOT A MEDICAL SERVICE. NOTHING ON THIS PLATFORM CONSTITUTES MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

All mineral calculations, food suggestions, supplement suggestions, buffering balance estimates, and any other outputs produced by AlkaGuide are educational estimates only. They are based on generalized published research coefficients and your self-reported data. Individual biochemistry varies significantly and cannot be fully captured by any algorithm.

You should always consult a qualified physician, registered dietitian, pharmacist, or other licensed healthcare provider before making any changes to your diet, supplement regimen, medication schedule, or any other health-related behavior based on information you receive from AlkaGuide.

AlkaGuide does not diagnose, treat, cure, prevent, or mitigate any disease, condition, or health disorder. Use of this service is not a substitute for professional medical care.

Menstrual Cycle Data — Scope Limitation: The optional menstrual cycle tracker collects flow level and symptom data solely to estimate mineral depletion (iron, magnesium, zinc, and related minerals) caused by menstruation. This data is used exclusively for mineral support calculations within the platform. AlkaGuide does not use menstrual cycle data for fertility tracking, ovulation prediction, pregnancy planning, contraceptive guidance, or any form of rhythm method support. AlkaGuide expressly disclaims any fitness for purpose as a reproductive planning tool. Do not use AlkaGuide cycle data for contraceptive decisions of any kind.

4. No Professional Relationship Created

Use of AlkaGuide does not create a physician-patient, dietitian-client, pharmacist-patient, therapist-client, fiduciary, or any other professional or advisory relationship between you and AlkaGuide or any of its owners, employees, contractors, or affiliates.

No communication through the Service — including but not limited to mineral estimates, food suggestions, supplement suggestions, educational content, or platform-generated messages — shall be construed as establishing any such relationship.

5. Assumption of Risk & Reliance Disclaimer

By using AlkaGuide, you acknowledge that all nutritional, dietary, mineral, supplement, buffering, and wellness decisions involve inherent uncertainty and risk. Individual biochemistry, medical history, drug interactions, and countless other factors that AlkaGuide cannot assess may affect the suitability of any educational output for your specific situation.

You voluntarily assume all risks arising from reliance on information provided through the Service. This includes, without limitation, risks related to dietary changes, supplement choices, mineral intake decisions, or any other health-related action taken based on AlkaGuide outputs.

You are solely responsible for independently verifying any output produced by AlkaGuide before acting upon it. You agree not to rely exclusively on any output generated by the Service when making health, dietary, supplement, medication, or wellness decisions. AlkaGuide provides information for educational purposes only; the decision to act on any such information is yours alone.

AlkaGuide expressly disclaims all responsibility for any action taken or not taken by you in reliance on Service outputs.

6. User Data Accuracy & Responsibility

AlkaGuide relies entirely on user-supplied information. The accuracy of all educational outputs, mineral estimates, food suggestions, and other platform outputs is entirely dependent on the accuracy and completeness of the data you provide.

You acknowledge that inaccurate, incomplete, estimated, omitted, or otherwise incorrect information entered into the Service may produce inaccurate outputs, recommendations, calculations, or educational estimates. You assume sole responsibility for the accuracy of all information entered into the Service, and AlkaGuide bears no responsibility for inaccuracies in outputs that result from inaccuracies in user-supplied data.

AlkaGuide does not verify, audit, or independently confirm any information you enter, including but not limited to food consumption, medication names or doses, supplement details, health metrics, or any other self-reported data.

You represent that you will make reasonable efforts to provide accurate and complete information, and you agree that AlkaGuide's educational outputs must be interpreted in light of the inherent limitations of self-reported data.

7. Allergy, Food Safety & Product Verification

AlkaGuide's outputs consist primarily of food suggestions, whole-food powder suggestions, meal composition ideas, and food substitution ideas based on mineral content data. Any non-food supplement suggestion is shown only because you, the user, previously identified that supplement as something you personally take or have chosen.

You are solely responsible for reviewing all food, ingredient, supplement, and product suggestions for allergens, sensitivities, intolerances, dietary restrictions, religious or cultural dietary requirements, medication interactions, and any other personal health considerations before consuming or acting upon them. AlkaGuide does not verify the suitability of any suggestion for any specific individual.

AlkaGuide does not verify food manufacturer ingredient lists, processing methods, cross-contamination risks, allergen disclosures, supplement formulations, or future product reformulations. Manufacturers may change formulations, sourcing, or manufacturing processes at any time without notice. You must independently verify all food and supplement products before consumption.

AlkaGuide's food suggestions indicate that a food contains a particular mineral in a particular quantity based on published nutritional data. This is educational information about food composition — it is not a statement that the food is safe, appropriate, or suitable for you specifically.

If you have known food allergies, intolerances, or sensitivities, or if you take prescription medications, you must consult your physician, registered dietitian, or pharmacist before acting on any food or supplement suggestion from AlkaGuide.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALKAGUIDE, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, HEALTH OUTCOMES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ALKAGUIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

By continuing to use AlkaGuide after being presented with these Terms, you expressly acknowledge and agree that this limitation of liability is a fundamental element of the basis of the bargain between you and AlkaGuide, and that AlkaGuide would not provide the Service without this limitation.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain damages. If you reside in such a jurisdiction, some of the above limitations may not apply to you, but the limitation shall apply to the fullest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless AlkaGuide LLC, its owners, officers, directors, employees, contractors, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or relating to:

• Your use of or access to the Service;
• Your violation of any provision of these Terms;
• Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right;
• Any health or wellness decision you make based on information obtained from the Service;
• Any claim that content you submitted to the Service caused damage to a third party.

AlkaGuide reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with AlkaGuide's defense of such claims.

10. CLASS ACTION WAIVER

YOU AND ALKAGUIDE EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION.

You expressly waive any right to bring or participate in any class action, class arbitration, or any other representative proceeding against AlkaGuide or its officers, directors, employees, or affiliates. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial and any right to participate in a class or representative action.

11. JURY TRIAL WAIVER

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ALKAGUIDE EACH HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR CLAIM OF ANY NATURE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

This waiver applies whether the action is brought in arbitration, in court, or any other forum, and regardless of the type of claims asserted. You acknowledge that you have had the opportunity to consult with counsel and that you are voluntarily and knowingly waiving your jury trial rights.

12. User Accounts & Eligibility

You must be at least 18 years of age to create an account. By registering, you represent that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You may not create an account on behalf of another person, share your account with others, or use another person's account without their express permission.

13. Subscription & Billing

AlkaGuide is offered on a subscription basis. Subscription fees are charged in advance on a monthly basis. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as expressly stated in our refund policy.

Free trial periods, where offered, automatically convert to a paid subscription at the end of the trial unless cancelled. You may cancel at any time. Cancellation takes effect at the end of the current billing period.

We reserve the right to change subscription pricing with at least 30 days' notice. Continued use after the effective date of a price change constitutes acceptance.

14. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to reverse-engineer, decompile, or extract the underlying algorithms or proprietary calculation system
• Scrape, crawl, or automate access to the Service
• Upload false, misleading, or deliberately inaccurate health data
• Attempt to gain unauthorized access to any part of the platform or its infrastructure
• Resell or commercially redistribute content or outputs from the Service without written permission

15. Intellectual Property

The AlkaGuide platform, including its patent-pending atomic-level mineral calculation system, software, algorithms, branding, and all content, is the exclusive property of AlkaGuide LLC. All rights reserved.

Your personal data entered into the platform remains yours. You grant AlkaGuide a limited, non-exclusive licence to process and store that data solely to provide the Service as described in our Privacy Policy.

16. Account Deletion & Data Retention

You may delete your account at any time from your profile settings. Upon deletion, your data is archived for up to 365 days to enable account recovery if requested. Recovery fees apply: $25 (within 30 days), $49 (31–90 days), $75 (91–180 days), $99 (181–365 days), $149 (over one year). After 365 days, data is permanently deleted.

Payment records are retained for financial compliance purposes regardless of account deletion status.

17. One-Year Limitation on Claims

Any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after the event giving rise to such claim or cause of action first arose. After this period, such claim or cause of action is permanently barred, regardless of any statute or law to the contrary.

This limitation applies to all claims of any kind, including but not limited to claims for breach of contract, negligence, personal injury, or statutory violations, to the fullest extent permitted by applicable law.

18. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration shall occur exclusively in Albany County, New York.

Each party shall bear its own attorney fees and costs in any arbitration proceeding, except where prohibited by applicable law.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

19. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS. ALKAGUIDE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC HEALTH OUTCOME WILL RESULT FROM USE OF THE SERVICE.

20. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice within the platform at least 14 days before taking effect.

For material changes, AlkaGuide will require you to affirmatively re-accept the updated Terms by clicking "I Agree" before continued access to the Service is permitted. This re-acceptance constitutes a fresh and independent agreement to the revised Terms and supersedes all prior versions. Continued use of the Service after the effective date of non-material changes constitutes acceptance of those changes.

21. Severability & Entire Agreement

Severability: If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed from these Terms. All remaining provisions shall continue in full force and effect, unaffected by the invalidity or unenforceability of any single provision.

Entire Agreement: These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference herein, constitute the entire agreement between you and AlkaGuide with respect to your use of the Service. They supersede all prior and contemporaneous discussions, communications, representations, warranties, and understandings, whether oral or written, between you and AlkaGuide regarding the subject matter hereof. No prior representations, statements, or agreements — including any made during any sales, marketing, or informational communications — shall form part of this agreement or be relied upon as a basis for any claim.
